Frasers Group plc (the "Company") has been notified on 9 December 2025 by MASH Beta Ltd ("MASH Beta"), a company through which Mike Ashley holds shares in the Company, that MASH Beta has granted a pledge in favour of HSBC Bank plc over 103,572,688 Ordinary Shares in the Company, representing approximately 23.0% of the Company's issued share capital (excluding shares held in treasury), as security for amounts which may be due from time to time under a personal bank lending facility. Mike Ashley remains the beneficial owner of the Ordinary Shares subject to the pledge and retains full voting rights over these shares.
