On April 16, 2026, in accordance with the U.S. Securities Exchange Act of 1934, as amended, the Company filed with the U.S. Securities and Exchange Commission (the "SEC") the following:

· 2026 Notice of Annual General Meeting and Definitive Proxy Statement on Schedule 14A (the "Proxy Statement"); and

· Annual Report to Security Holders for the fiscal year ended December 31, 2025 on Form ARS (the "2025 Annual Report", and together with the Proxy Statement, the "Proxy Materials").

Under rules adopted by the SEC, the Company is furnishing the Proxy Materials to our shareholders on the internet rather than mailing printed copies. On or about April 16, 2026, we will mail a notice of internet availability of the Proxy Materials (the "Notice of Availability") to our shareholders as of close of business on the Record Date (April 2, 2026).
