Interim Financial Report

The Board of Fair Oaks Income Limited is pleased to release its Interim Report and Unaudited Condensed Financial Statements for the period ended 30 June 2026 (the "Interim Report").

Highlights

·      The Company's Net Asset Value ("NAV") return on a total return basis (with dividends reinvested) for the six-month period ended 30 June 2026:

v Ordinary Share was 2.10% (31 December 2025: 5.49%)

v Realisation Share was nil% * (31 December 2025: 9.27%)

* During the period, the Realisation Shares were delisted from the London Stock Exchange. Following the delisting, no Realisation Shares remained in issue, and the remaining net assets as at the reporting date relate primarily to the settlement of distribution payables and other residual obligations. These have been settled subsequent to the period end.

 

·      As at 30 June 2026, the Company's total market capitalisation was EUR155.5 million comprising:

v Ordinary Shares of EUR155.5 million and;

v Realisation Shares of EURnil.

 

·      The Company closed at a last-price on 30 June 2026**:

v Ordinary Shares at EUR4.02 (31 December 2025: EUR0.4476) and traded at an average discount to NAV of 4.23% during the six-month period ended 30 June 2026 (31 December 2025: average discount to NAV of 0.45%).

v Realisation Shares at EURnil (31 December 2025: EUR0.5015) and traded at an average discount to NAV of 9.62% during the six-month period ended 30 June 2026 (31 December 2025: average premium to NAV of 0.40%).

** During the period, the Ordinary Shares were consolidated on 1-for-10 basis. On 30 April 2026, one consolidated Ordinary Share was issued for every 10 converted Ordinary Shares.

 

·      During the six-month period ended 30 June 2026, the Company declared dividends totalling 27.05 EUR cents per Ordinary Share, comprising a dividend of 2.0 US$ cents per Ordinary Share declared prior to the Company's transition to EUR reporting and a subsequent 10.0 EUR cents per Ordinary Share dividend. The US dollar dividend was converted to EUR using the applicable WMR exchange rate and adjusted for the 1-for-10 share consolidation, resulting in an equivalent distribution of approximately 17.05 EUR cents per Ordinary Share.

 

In the comparative period ended 30 June 2025, dividends of 4.0 US$ cents per Share were declared on Ordinary Shares. The US dollar dividend was converted to EUR using the applicable WMR exchange rate and adjusted for the 1-for-10 share consolidation, resulting in an equivalent distribution of approximately 34.10 EUR cents per Ordinary Share.

 

The Company also declared dividends of 2.0 US$ cents per Realisation Share, equivalent to the 1.71 EUR cents per Realisation Share dividend declared prior to the transition to EUR reporting. 

 

In the comparative period ended 30 June 2025, dividends of 4.0 US$ cents per Share (3.41 EUR cents per Share) were declared on Realisation Shares.
