                    CPL Resources PLC (the 'Company')


The Company announces that on 19 December 2003 it was notified that, Mr Paul
Carroll, a Director of the Company, transferred by way of gift, 5,121,851
Ordinary Shares ('Shares') in the Company to Anne Heraty, his wife and a
Director of the Company.  This transfer was effected on 19 December 2003 for
financial planning reasons.

As a consequence of this transfer, Paul Carroll's total shareholding in the
Company reduced from 14,785,912 Shares (40.48%) to 9,664,061 (26.46%).  Anne
Heraty now holds 19,907,764 Shares in the Company representing 54.5% - an
increase in shareholding of 14.02%.  The total number of Shares in the Company
in issue as at 22 December 2003 is 36,521,825.
