                            BROCHURE OF PARTICULARS

                   CPL Resources plc ('CPL' or the 'Company')


Application has been made to the Irish Stock Exchange and to the London Stock
Exchange for 110,000 Ordinary Shares of nominal value €0.10 each in the capital
of CPL to be admitted to the Developing Companies Market of the Irish Stock
Exchange and the Alternative Investment Market of the London Stock Exchange and
application has been made to the Irish Stock Exchange and to the London Stock
Exchange for these shares to be admitted to trading.

The new shares rank pari passu in all respects with the existing ordinary shares
and are issued pursuant to the exercise of shares under the Company's employee
share option scheme.

Such admission is expected to become effective and dealings expected to commence
in these shares on 29 January 2004.
