Notification of transactions of persons discharging managerial responsibilities ("PDMR") or persons closely associated with them ("PCA")

Caledonia Investments plc ("Caledonia" or the "Company") has been notified pursuant to the requirements of the UK Market Abuse Regulation ("MAR") of the following transactions in its ordinary shares of 0.5p ("Shares") involving one of its directors, William Wyatt, and persons closely associated with him.

On 24 July 2026, 41,335 Shares were transferred to Mr Wyatt under the Caledonia Investments 2020 Performance Share Scheme at nil cost. The Shares were sourced from The Caledonia Investments plc Employee Share Trust ("EST"). This transaction took place off-market in London.

On the same date, Mr Wyatt sold:

·    30,809 Shares to The Dunchurch Lodge Stud Company ("Dunchurch Lodge"), a private company controlled by him and persons connected with him; and

·    10,526 Shares to family trusts of which Mr Wyatt is a trustee.

The above transactions increased Mr Wyatt's beneficial holdings in the Company.

Each of these transactions were conducted on-market in London. The Shares were sold at 376.5p per Share. Dunchurch Lodge and the family trusts, which are all members of the Cayzer family concert party, purchased the Shares at 376.5725p per Share.

Also on the same day, certain family trusts of which Mr Wyatt is a trustee purchased 27,000 shares at 381.00p per Share from another member of the Cayzer family concert party. These transactions were conducted off-market in London and increased Mr Wyatt's beneficial holdings in the Company.

Following the above transactions, Mr Wyatt's total interests in Shares are as follows:
