PUBLIC DISCLOSURE OF TRANSACTIONS BY PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ("PDMRS") AND PERSONS CLOSELY ASSOCIATED WITH THEM
Balfour Beatty plc (the "Company") announces that, on 22 June 2026, Myles Westcott received conditional awards over Ordinary Shares of 50p each in the Company ("Ordinary Shares") as shown below (the "Buy-Out Awards"), in accordance with the rules of the Performance Share Plan ("PSP").
The Buy-Out Awards are granted to compensate for remuneration forfeited by Mr Westcott on leaving his former employer, as referred to in the announcement of 24 February 2026 and in the Company's Directors' Remuneration Report for the year ended 31 December 2025. Further information will be included in the Company's Directors' Remuneration Report for the year ending 31 December 2026, including as regards the performance conditions applying to the Buy-Out Awards granted in respect of forfeited performance stock units.
· Award granted over 84,689 Shares in respect of a forfeited performance stock unit, which will vest in March 2027 subject to the satisfaction of performance conditions.
· Award granted over 32,222 Shares in respect of a forfeited restricted stock unit, which will vest in April 2027.
· Award granted over 70,335 Shares in respect of a forfeited performance stock unit, which will vest in March 2028 subject to the satisfaction of performance conditions.
Myles Westcott was also granted an award under the PSP over 123,782 Shares in respect of the performance period 2026 - 2028 (the "2026 PSP Award"), which will vest subject to the satisfaction of the same performance conditions as apply to the PSP awards granted in March 2026 and be subject to a two year holding period post vesting.
The vesting of each Buy-Out Award and the 2026 PSP Award is subject to the rules of the PSP and Mr Westcott agreeing to be bound by the terms of the Awards.
No consideration is payable on either the grant or vesting of the Buy-Out Awards or the 2026 PSP Award.
