Conditional allocation of shares

A conditional allocation of ordinary shares of 5^15/22 pence in Associated British Foods plc (the 'Company') was made to each of the following directors of the Company on 21 May 2026 under the terms of the Associated British Foods plc 2025 Restricted Share Plan (the 'RSP') and the Associated British Foods plc 2025 Short-Term Incentive Plan (the 'STIP') (together the 'Plans'):

The allocation was made on the basis of an allocation price of 2,124.4 p (being the average of the daily closing prices for the shares over the five consecutive business days Monday 1 December 2025 to Friday 5 December 2025, being the period immediately preceding the main share allocation under these Plans on 8 December 2025). The awards reflect the appointment of these Executives to their new roles (as communicated on 5 March 2026).
