Winsford, UK: Advanced Medical Solutions Group plc (AIM: AMS), the world-leading specialist in tissue-healing technologies, announces the award of nil-cost share options to the following Directors and persons discharging managerial responsibilities (PDMRs) of the Company (the "Awards") under the existing Advanced Medical Solutions Long Term Incentive Plan (the "LTIP").
The Awards were previously approved by the Company's Remuneration Committee and were due to be released in April 2026 in accordance with the Company's annual Executive remuneration cycle. Following today's publication of inside information in relation to the recommended cash acquisition of AMS by H.B. Fuller Medical Adhesive Technologies Inc. ("Bidco", a wholly-owned subsidiary of H.B. Fuller Company), the grant of the Awards has become effective today.
The vesting of these Awards is subject to the achievement of certain performance criteria for the three years prior to vesting. The performance criteria under the LTIP scheme is split equally between Earnings Per Share (EPS) achievement against target and Total Shareholder Return (TSR) against a comparator group. The recipients are required to hold the Awards for a period of two years following vesting.
Details of the impact of the Acquisition on all AMS Share Plans (including the Awards) and any associated proposals are summarised in the Co-operation Agreement between the Company and Bidco, and will be set out in the Scheme Document, and in separate letters to be sent to participants in all AMS Share Plans.
Capitalised terms used but not defined in this announcement have the same meaning as set out in today's announcement of the recommended cash acquisition of AMS by Bidco.
