Exercise of Warrants & Updated Warrant Position

ACG Metals Limited ("ACG" or the "Company") announces that, as at 30 September 2026, its issued share capital comprised 23,150,326 class A ordinary shares of no par value, each carrying one voting right.

The Company does not hold any ordinary shares in treasury. Accordingly, the total number of voting rights in the Company as at 30 September 2026 was 23,150,326.

The figure of 23,150,326 may be used by shareholders as the denominator for the calculations by which they determine whether they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.

Updated Warrant Position

During September 2026, 5,000 public warrants were exercised, resulting in the issue of 5,000 new class A ordinary shares.

As at 30 September 2026, the Company had 11,555,430 warrants outstanding, comprising:

·    5,057,740 private placement warrants;

·    2,355,420 public warrants; and

·    4,142,270 sponsor warrants.

The outstanding warrants do not carry voting rights unless and until they are exercised and the resulting class A ordinary shares are issued.
