Matrix Income & Growth 3 VCT plc announces that on 14 May 2009, it purchased a
total of 200,957 Ordinary Shares of the Company for cancellation at a price of
58.5 pence per share.

Following this purchase the Company now has 19,666,193 Ordinary Shares in
issue.
