Results of Fnac General Meeting: Issuance of New Fnac Shares
pursuant to Offer receives near unanimous approval from Fnac shareholders

 

 

Fnac announces that at the Fnac General Meeting held on Friday 17 June 2016, Fnac Shareholders voted to pass the resolution granting authority to the Fnac Directors to issue up to a maximum of 8,472,851 New Fnac Shares in connection with the Offer. The resolution received near unanimous approval with 99.96% of shareholder votes.

Details of the Fnac Shareholder Resolution passed are set out in the Fnac Notice, available at www.groupe-fnac.com.

Following the approval of the Fnac Shareholder Resolution on Friday, Fnac's Offer remains subject to the satisfaction or waiver of the remaining Conditions set out in the Offer Document, including in respect of anti-trust clearance from the French Competition Authority.

The expected timetable of principal events in connection with the Offer remains as set out on page 9 of the Offer Document.

Capitalised terms used but not defined in this announcement have meanings set out in the Offer Document.

New Fnac Shares
