The Board of BioPharma Credit PLC (the "Company") announces the completion of the Placing and Offer for Subscription of C Shares announced on 8 March 2018.


A total of 163,782,307 C Shares were issued through the Initial Placing and Offer at a price of US$1.00 each, raising gross proceeds of approximately US$163,782,307 million. The Company will use the net proceeds of the Initial Placing and Offer in accordance with its investment objective and policy to fund current and future investment commitments.

As part of the Initial Placing, Invesco Asset Management Limited ("Invesco") purchased, acting as agent for and on behalf of its discretionary managed clients, 32,246,290 C Shares for a total consideration of US$32,246,290 to be paid in cash. Additionally, M&G Investment Management Limited ("M&G") purchased, on behalf of its clients, 5,520,200 C Shares for a total consideration of US$5,520,200 to be paid in cash. Both Invesco and M&G are substantial shareholders of the Company under Chapter 11 of the Listing Rules.


Applications will be made for admission of the 163,782,307 C Shares to the Official List of The International Stock Exchange and to trading on the Specialist Fund Segment of the London Stock Exchange's main market for listed securities, with admission expected to occur at 8.00 a.m. on 16 April 2018. The C Shares will trade under the ticker "BPC1" from Admission.


Following Admission, the total number of C Shares in issue will be 163,782,307 and the total number of Ordinary Shares in issue will remain 914,252,831. These figures may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.


The Initial Placing and Offer is conditional on, among other things, Admission becoming effective and the Placing Agreement between the Joint Bookrunners and the Company not being terminated.
