The Class B1a Notes, Class B1b Notes, Class B1c Notes, Class C1a Notes, Class C1c Notes, Class D1a Notes, Class D1c Notes, and Class E1c Notes are each a "Class" of Notes and together referred to as the "Notes". The Class B1a Notes, Class B1b Notes and Class B1c Notes are together referred to as the "Class B Notes". The Class C1a Notes, Class C1c Notes are together referred to as the "Class C Notes".  The Class D1a Notes and Class D1c Notes are together referred to as the "Class D Notes". The Class E1c Notes are referred to as the "Class E Notes". 

Unless otherwise provided or the context otherwise requires, words and expressions defined or incorporated in Schedule 1 (the "Master Definitions Schedule") of the Master Securitisation Agreement dated 31 October 2006 (as amended from time to time) between, amongst others, the Issuer and the Trustee) shall have the same meaning when used in this Notice. 

This Notice is issued and directed only to the Noteholders and no other person shall, or is entitled to, rely or act on, or be able to rely or act on, its contents.

RESULTS OF THE NOTEHOLDERS' MEETINGS

NOTICE IS HEREBY GIVEN to the holders of the Notes (the "Noteholders") that pursuant to Condition 14 of the Terms and Conditions of the Notes and the provisions of the Third Schedule of the Trust Deed separate meetings of the Noteholders of each Class (each, a "Noteholders' Meeting") convened by the Issuer were held at the offices of Fieldfisher LLP, Riverbank House, 2 Swan Lane, London, EC4R 3TT on 14 May 2019 at 2.00 pm (London time) (in respect of the Class B Notes), at 2.20 pm (London time) (in respect of the Class C Notes), at 2.40 pm (London time) (in respect of the Class D Notes) and at 3.00 pm (London time) (in respect of the Class E Notes). The result of such meetings were as follows:

1.           the required quorum was not achieved for the meeting of the holders of the Class B Notes;

2.           the required quorum was not achieved for the meeting of the holders of the Class C Notes;

3.           the required quorum was achieved for the meeting of the Class D Notes and the Extraordinary Resolution was duly passed; and

4.           the required quorum was achieved for the meeting of the Class E Notes but the Extraordinary Resolution was not passed.

In order for the proposed amendments contained in the form of Extraordinary Resolution to be effective such Extraordinary Resolution must be passed at each meeting of the Noteholders of each Class.

The Issuer is considering the position and will update Noteholders in due course.
