Further to the announcement of 9 April 2008 in connection with the proposed
placing of 64,384,000 new Ordinary Shares in the capital of the Company (the
'Placing'), the Board of D1 Oils plc (the 'Company') today announces that the
resolutions, in connection with the Placing, were duly passed, by the requisite
majorities, at the Extraordinary General Meeting of the Company, held at 11.00am
this morning.

Application has been made for 64,384,000 new Ordinary Shares of 1p each to be
admitted to trading on AIM and dealings are expected to commence on 12 May 2008.
