Extension of Offer and Level of acceptances

On 31 January 2006, Sytner announced the terms of a recommended cash offer for
the entire issued and to be issued ordinary share capital of William Jacks which
it did not already beneficially own.

As at 1.00 pm on 21 March 2006, being the third closing date of the Offer, valid
acceptances had been received in respect of a total of 2,665,174 William Jacks
Shares (representing approximately 24.15 per cent. of William Jacks' issued
ordinary share capital), and representing 78.92 per cent. of the ordinary shares
to which the Offer relates.

Prior to the announcement of the Offer on 31 January 2006, in addition to its
shareholding of 7,660,110 William Jacks Shares (representing 69.4 per cent. of
William Jacks Shares), Sytner had received irrevocable undertakings from William
Jacks Shareholders to accept the Offer in respect of, in aggregate, 625,000
William Jacks Shares representing 5.66 per cent. of the existing issued William
Jacks Shares. Of these irrevocable undertakings, Sytner has now received valid
acceptances from William Jacks Shareholders holding, in aggregate, 625,000
William Jacks Shares, representing 5.66 per cent. of the existing issued William
Jacks Shares.

In aggregate, Sytner now owns 10,325,284 William Jacks Shares representing 93.55
per cent of the issued ordinary share capital of William Jacks.

Sytner announces that it is extending the Offer and that the next closing date
of the Offer will be 1.00 pm on 4 April 2006.

William Jacks Shareholders who wish to accept the Offer, and who have not done
so, should complete, sign and return their Form(s) of Acceptance as soon as
possible, in accordance with the instructions printed thereon, whether or not
their William Jacks Shares are in CREST, and return them, as soon as possible
and, in any event, by no later than 1.00 pm on 4 April 2006, to the receiving
agents to the Offer, Neville Registrars, Neville House, 18 Laurel Lane,
Halesowen, West Midlands B63 3DA. Additional Forms of Acceptance are available
from Neville Registrars by telephoning 0121 585 1131.


As set out in the announcement dated 21 February 2006, Sytner has received
acceptances in relation to over 75 per cent. of William Jacks Shares. A request
was made by William Jacks to AIM on 21 February 2006 for its shares to be
de-listed from AIM.

It is expected that cancellation of admission to trading from AIM of the William
Jacks Shares will take place tomorrow effective from 7.00 am.

Settlement of consideration

Consideration has already been despatched to Accepting Shareholders who had
submitted valid acceptances by 7 March 2006. The consideration will be
despatched by first class post, or made by means of a CREST payment, on or
before 4 April 2006 to William Jacks Shareholders who have validly accepted the
Offer on or before the date of this announcement.  Thereafter, consideration
will be despatched, or made by means of a CREST  payment, to William Jacks
Shareholders who validly accept the Offer within 14 days of receipt of an
acceptance valid in all respects.

Terms defined in the Offer Document dated 31 January 2006 shall, unless the
context requires otherwise, have the same meanings in this announcement.
