Result of Oversubscribed Initial Issue

 

£125 million of equity raised to invest in sizeable pipeline of investment opportunities in fast growing European logistics sector

 

The Board of Aberdeen Standard European Logistics Income PLC (the "Company" or "ASLI") is pleased to announce the result of the Company's Initial Issue, comprising a Placing, Open Offer and Offer for Subscription as set out in the Company's prospectus published on 8 September 2021.

 

The Initial Issue was significantly oversubscribed with strong support from existing and new investors. In light of this, and given further positive developments with regard to the near-term pipeline of investment opportunities, the Board has determined to issue a total of 114.7 million new Ordinary Shares, raising gross proceeds of £125 million at the Issue Price of 109.0 pence per new Ordinary Share. The new Ordinary Shares to be issued comprise 91.7 million Ordinary Shares issued pursuant to the Initial Issue (representing the maximum size of the Initial Issue), and an additional 23 million new Ordinary Shares issued pursuant to the Company's existing general non-pre-emptive issuance authority as granted at the Company's annual general meeting in 2021.

Notwithstanding this increase, a scaling back exercise has been undertaken as investor demand significantly exceeded £125 million. All valid applications under the Open Offer will be satisfied in full up to an applicant's Basic Entitlement.

The issue was significantly over-subscribed and with the near-term pipeline of acquisition opportunities growing since early September, after careful consideration the Board decided to increase the size of the issue to £125 million.

 

"Our confidence in the Investment Manager's ability to continue sourcing on and off-market opportunities for the Company remains high, given its significant local presence across Europe and track record in amassing the current portfolio. With a continuing focus on mid-box and urban logistics warehouses in key European logistics hubs, we are confident that the proceeds of this fundraise will be deployed in a timely manner, providing shareholders with further attractive returns from this increasingly critical asset class."  

Application for Admission

Application has been made for 114,678,900 new Ordinary Shares to be admitted to the premium segment of the Official List of the FCA and to trading on the Main Market of the London Stock Exchange. The 91,743,120 new Ordinary Shares being issued pursuant to the Initial Issue have been allotted conditional on the approval of Shareholders of Resolutions 1, 3 and 5 to be proposed at the General Meeting, which has been convened for 11.00 a.m. on Thursday, 30 September 2021. The Company will make a further announcement tomorrow with the results of the General Meeting. It is expected that Initial Admission in respect of the 114,678,900 new Ordinary Shares will become effective, and that dealings in the new Ordinary Shares will commence, at 8.00 a.m. on Friday, 1 October 2021.

Total Voting Rights

Of the 114,678,900 new Ordinary Shares to be issued by the Company, 37,866,794 new Ordinary Shares will be issued pursuant to the Open Offer (including the Excess Application Facility), 5,359,476 new Ordinary Shares will be issued pursuant to the Offer for Subscription, 7,708,348 new Ordinary Shares will be issued pursuant to the Intermediaries Offer, 40,808,502 new Ordinary Shares will be issued pursuant to the Placing and 22,935,780 new Ordinary Shares will be issued pursuant to the Company's existing non-pre-emptive issuance authority.

On Initial Admission, the Company's issued share capital will consist of 377,628,901 Ordinary Shares with voting rights. This figure may be used by Shareholders in determining the denominator for the calculation by which they will establish if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
