Stagecoach Group plc 2005 Executive Participation Plan ("the 2005

Vesting of Awards Granted on 30 June 2006

Awards made  on 30  June 2006  under the  2005 EPP  to two  executive
directors  and   certain   other   persons   discharging   managerial
responsibilities ("PDMR") of  Stagecoach Group  plc ("the  "Company")
vested on 10 December 2009 resulting in awards of notional  interests
in Ordinary Shares of 56/57p in the Company ("Deferred Shares") being
released and transferred  to those persons  for nil consideration  in
accordance with the rules  of the 2005 EPP,  and being dealt with  as

Each of the two directors as listed above and Les Warneford  retained
the gross number of  shares that vested to  them, with each  settling
directly with cash their payroll taxes that arose on vesting.

The shares sold by Ross Paterson  and Dale Moser were sold in  London
on 10  December 2009,  with the  proceeds being  applied by  them  to
settle  the  payment   of  the  tax,   duties  and  social   security
contributions payable in respect of  the vesting of their  respective

The disclosures noted above were notified to the Company on 11
December 2009

New Awards Granted on 10 December 2009

On 10 December 2009, two directors  of the Company and certain  other
persons discharging  managerial  responsibilities  were  granted  new
awards under the 2005  EPP.  The transactions  have been notified  in
accordance with Disclosure Rule 3.1.4R(1)(a).

The 2005 EPP awards are in the form of Deferred Shares, together with
an entitlement to  receive a  payment on  vesting in  respect of  any
dividends declared on Deferred Shares throughout the vesting period.
The awards  were  made on  10  December 2009  and  are subject  to  a
restricted period of three years from  the date of grant. The  awards
will generally vest on the expiry  of this three-year period and  the
normal date of vesting will be 10 December 2012.

Ordinary Shares in issue. Each of the above PDMRs, other than Brian
Souter and Dale Moser, is a potential beneficiary of the Stagecoach
Group Qualifying Employee Share Trust, which holds 333,372 Ordinary
Shares of 56/57th pence each representing 0.05% of the total Ordinary
Shares in issue.
