Fourth Announcement of proposed scheme of arrangement -
Results of Scheme Meeting
Transfer of Novera Domicile from Australia to the United Kingdom
The Directors of Novera advise that further to the prior announcements in
relation to the proposal to effect the change of domicile of the Novera Group
from Australia to the UK through a scheme of arrangement under the Australian
Corporations Act 2001 (the 'Proposed Scheme'), the Supreme Court of Victoria
ordered meeting of Novera's shareholders was held today.
At the meeting, Novera's shareholders approved the following resolution:
That the Scheme of Arrangement proposed to be entered into between Novera and
its shareholders, as more particularly described in the Scheme of Arrangement
contained in the Scheme Booklet of which the notice convening this meeting forms
part, is agreed to.
Voting on the resolution was as follows:

The next step in the process is the consideration of the Proposed Scheme by the
Supreme Court of Victoria which is currently set down for 25 May 2007.
