Sky/ITV invitation to comment

Office of Communications
01 March 2007

COMPLETED ACQUISTION BY BRITISH SKY BROADCASTING GROUP PLC OF A 17.9%
SHAREHOLDING IN ITV PLC

1 March 2007

On 26 February the Secretary of State for Trade and Industry issued an
intervention notice asking the Office of Communications ('Ofcom') to conduct an
initial investigation into whether the acquisition by British Sky Broadcasting
Group Plc of a 17.9% shareholding in ITV plc raises public interest issues which
are or may be relevant to a consideration of that transaction.

In accordance with that notice Ofcom will now investigate and report to the
Secretary of State on the specified media public interest consideration in
section 58(2C)(a) of the Enterprise Act 2002 by 27 April.

The specified media public interest consideration is the need, in relation to
every different audience in the United Kingdom or in a particular area or
locality of the United Kingdom, for there to be sufficient plurality of persons
with control of the media enterprises serving that audience.

Please send any written representations about the specified media public
interest consideration to arrive by 5pm Thursday 15 March 2007 to:
