Gresham Computing plc
('Gresham' or 'the Company')
On 16 June 2006, AJS Walton-Green, exercised 250,000 share options held over
shares beneficially owned by SJ Green at a price of 25 pence per share.
AJS Walton-Green subsequently sold 125,000 of these shares, representing 0.25%
of the outstanding share capital of the Company, at a price of £1.05 per share
to satisfy the tax liability arising on the receipt of the shares and the option
exercise price. Mr Walton-Green retained the balance of 125,000 shares.
As a result, AJS Walton-Green has increased his beneficial interest in the
ordinary shares of the Company from 540,695 to 665,695, representing 1.32% of
the outstanding share capital.
AJS Walton-Green notified the Company on 16 June 2006 of the above transaction
in accordance with DR 3.1.2R of the Disclosure Rules and section 324 (as
extended by section 328) of the Companies Act 1985.
