Following the previously announced conversion of the entire amount of the
£49,000,000 41/2 per cent. Subordinated Convertible Bonds due 2013 issued by the
Company (the '2013 Bonds') into the Company's Ordinary Shares, applications are
being made by the Company to the FSA for the listing of the 2013 Bonds to be
cancelled from the Official List and to the London Stock Exchange for the
admission of trading of the 2013 Bonds on the London Stock Exchange's market for
listed securities to be cancelled.

The intended cancellation of the listing of the 2013 Bonds on the Official List
of the FSA and the intended cancellation of the admission to trading of the 2013
Bonds on the London Stock Exchange's market for listed securities are, in each
case, expected to take effect on 14 June 2006.
