Performance Share Plan - Vesting of Awards
Viridian Group PLC (the `Company') announces that it was advised today that on
9 February 2005 the Trustees of the Viridian Group Employee Benefit Trust made
the following awards of ordinary shares of 25 pence each to executive directors
under the Company's Performance Share Plan: Patrick Haren - 30,076 shares,
Patrick Bourke - 21,734 shares and Harry McCracken - 21,734 shares.
The awards were made under the terms of contingent share awards made in 2002.
Vesting of the awards was dependent on the performance of the Company's total
shareholder return compared to that of a group of utility and industrial and
service sector companies over the three year performance period ended 31
In accordance with the terms of the contingent share awards no consideration
was paid for these shares.
On 9 February 2005, the following shares were sold, including sufficient number
to meet each director's liability to income tax and national insurance
contributions arising on the share awards: Patrick Haren - 20,850, Patrick
Bourke - 8,929 and Harry McCracken - 21,734. All shares were sold at a price of
£7.7422 per share.
