                       Ashdene Group Plc (the 'Company')

On 5 August the Board of Ashdene Group Plc agreed to make the following share
issues and grant the following options to meet, in full, an introductory fee and
certain liabilities of the Company:-

2,500,000 ordinary shares of 1 pence each have been issued at par and allotted
to Mr John Martineau Kinder in consideration for an introductory fee payable in
relation to a £150,000 loan made to a group company by Rivertrade Limited, a
company of which Mr Kinder is a director.  These shares represent 1.67% of the
enlarged share capital of the Company.

Options over 15,000,000 ordinary shares of 1 pence each have been granted to
Rivertrade Limited as a condition of the £150,000 loan referred to above.  The
options are exercisable at any time prior to 1st May 2005 at an exercise price
of 1 pence each. These options represent 9.10% of the share capital of the
Company, as enlarged by the issue of shares pursuant to this option.

Options over a further 25,000,000 ordinary shares of 1 pence each have been
granted to Mr John Martineau Kinder as a condition of the £150,000 loan referred
to above.  The options are exercisable at any time until 30th April 2006 at an
exercise price of 1 pence each.  These options represent 13.16% of the share
capital of the Company, as enlarged by the issue of shares pursuant to this
option.

700,000 ordinary shares have been issued at par and allotted to Peter Ross
Brooks in consideration for a fee due to him in relation to a loan made by Mr
Brooks to a group company.  These shares represent 0.37% of the enlarged share
capital of the Company, assuming the options referred to above are exercised.

Furthermore, 500,000 ordinary shares have been issued at par and allotted to
Anita Madhas, a former employee in respect of a liability owing to her.  These
shares represent 0.26% of the enlarged share capital of the Company, assuming
the options referred to above are exercised.
