                UNIVERSE GROUP PLC ('Universe' or the 'Company')

           Result of the scrip alternative and director shareholdings



Universe, the retail and information systems company, today announced that under
the Company's Scrip Dividend Scheme shareholders representing 30.4% of the
issued share capital elected to receive shares in lieu of cash in respect of all
or part of the Final Dividend for the year to 31 December 2002, which is to be
paid on 3 July 2003.  Under the terms of the Scrip Dividend electing
shareholders will receive new ordinary shares of 5p each ('New Ordinary Shares')
at an effective price of 21 pence per share in lieu the final dividend of 1.17
pence per share.



As a result, a total of 604,182 New Ordinary Shares have been allotted.
Application will be made for the New Ordinary Shares to be admitted to trading
on the Alternative Investment Market and dealings are expected to commence on 4
July 2003.



Each of the Directors elected to receive the Scrip Dividend alternative.  As a
result the Directors' shareholdings are:
