Part 4 - Investigations/Criticisms



Of those companies listed in Part 3 of this document of which Mr. Gunn was a
director at the time of the relevant winding up proceedings occurring, those
marked with an asterisk were within the British & Commonwealth Holdings plc
group of companies of which Mr. Gunn was appointed Chief Executive in October
1986 and Executive Chairman in March 1987.  Following the collapse of the
British & Commonwealth Group as a result of a takeover of Atlantic Computers
plc, Inspectors were appointed by the Secretary of State for Trade and Industry
pursuant to Section 432(2) of the Companies Act 1985 to investigate the affairs
of Atlantic Computers plc, Atlantic Computer Systems plc and British &
Commonwealth Holdings plc.  The Inspectors reported to the Secretary of State in
April 1994 and their report was published in July 1994.  This report included
certain criticisms of Mr. Gunn's actions as a director of British & Commonwealth
Holdings Plc and other companies within the Group, criticisms which Mr. Gunn
vigorously and consistently defended himself against.



Following publication of the report, the Secretary of State commenced
proceedings against Mr. Gunn under Section 8 of the Company Directors
Disqualification Act 1986, on the basis that the Inspectors' report demonstrated
an unfitness to act as a director of a company.



These proceedings culminated in a trial in the High Court of Justice conducted
throughout January to March 1998.  The judgment found no culpability in Mr.
Gunn's conduct as a director of any company in the British & Commonwealth group
of companies.  Given that the DTI based its case on the Inspectors' Report, the
Directors of Turbo Genset believe that this judgment is clear vindication of Mr.
Gunn's repeated assertions that the finds of the Inspectors appointed by the DTI
had always been incorrect and totally unfounded in fact.



In January 1999 the advisers to British & Commonwealth plc, during its
acquisition of Atlantic Computers plc, who were, inter alia, charged by B&C to
carry out extensive due diligence, settled the claim for negligence made by B&
C's administrators in the sum of £150,000,000.



Save as disclosed above John Gunn:
