                        F.I. GROUP PLC (the 'Company')


RE: Chapter 16, Paragraph 13 of CONTINUING OBLIGATIONS

F.I. GROUP PLC (the 'Company') announces it received notification on 23 April
2001 for the purposes of Section 329 of the Companies Act 1985 that the
trustee of the F.I. GROUP Shareholders Trust (the 'Trust') and the F.I. GROUP
QUEST has transferred 132,697 of the Company's ordinary shares of 5 pence each
('Ordinary Shares') to participants exercising options granted under the
Company's ShareSave Scheme and the All Employee Share Option ('AESOS')
(together the 'Schemes'). The Ordinary Shares were transferred by F.I. GROUP
Employee Trust Company Limited as trustee of the Trust and the F.I. GROUP
QUEST. The Trust and the F.I. GROUP QUEST are discretionary trusts for the
benefit of employees of the Company and its subsidiaries, which operate in
conjunction with the Schemes and hold Ordinary Shares to satisfy existing
options granted under the Schemes.

 1. Mr G R Dunn, an executive director of the Company is also a director of the
    F.I. GROUP Employee Trust Company Limited.
 2. Transactions notified on 23 April 2001 in relation to the Trust and the

The Company further announces it received notification from the Trust on 23
April 2001 that the Trust was allocated 76,351 Ordinary Shares having elected
to participate in the scrip dividend offer at 377.6 pence per Ordinary Share
with effect from 6 April 2001.

The total holding of the Trust and the F.I. GROUP QUEST amounts to 41,574,039
Ordinary Shares (Trust: 24,558,448 and F.I. GROUP QUEST: 17,015,591).
