Ulster Television plc Proposed Acquisition of 60% of County Media Limited


On 23 November, 2000 Ulster Television plc ('UTV' or the 'Company') announced
the proposed acquisition of 100% of the issued share capital of County Media
Limited ('County Media'), a radio broadcasting business based in Cork,
Ireland, subect inter alia, to the approval of the Republic of Ireland
regulatory authority, the Independent Radio and Television Commission (the
'IRTC').


On 2 February, 2001 the IRTC announced that, under its current policy, it was
not prepared to approve the proposed transaction. However, the IRTC also
stated that a full review of its policy in this area is on the agenda for its
next policy meeting scheduled to take place in April 2001.


Ulster Television plc ('UTV') UTV todatoday announces that that the
Independent Radio and Television Commission (the 'IRTC')IRTC has approved in
principle the has approved the proposed acquisition by UTV of 60% of the
issued share capital of County Media Limited, a radio broadcasting business
based in Cork, Ireland, for a consideration of circa IRĀ£17.1 million. ('the
Proposed Transaction'). UTV is currently clarifying a number of matters with
the IRTC and a further announcement will follow as soon as is practicable.

(The Proposed Transaction has been approved by the Minister for Enterprise,
Trade and Employment under the Mergers and Take-overs (Control) Acts, 1978 to
1996.)

transaction.
