            RECOMMENDED MERGER OF ICELAND GROUP PLC AND BOOKER PLC            
                                                                              

                   RESULTS OF EXTRAORDINARY GENERAL MEETING                  



The Board of Iceland announces that, at the Extraordinary General Meeting held
earlier today, Iceland Shareholders approved the proposed offer by Iceland for
the entire issued and to be issued share capital of Booker.  In addition,
Iceland Shareholders approved the resolutions necessary to implement the
Merger.  Details of all resolutions proposed at the EGM are set out in the
notice of meeting contained within the listing particulars and circular posted
to Iceland Shareholders on 26 May 2000. 

The definitions used in this announcement shall, unless the context otherwise
requires, bear the same meaning as in the listing particulars and circular
posted to Iceland Shareholders on 26 May 2000.
