STATEMENT RE. TAYLOR NELSON SOFRES PLC ("TNS") 

WPP notes the announcement made on 5 August 2008 by TNS that the TNS board has posted a circular to TNS Share Owners in which it sets out the TNS board's reasons for rejecting WPP's Offer.


WPP continues to believe that its Offer represents full and fair value for TNS Share Owners. Based on the Closing Price of 497 pence per WPP Share on 5 August 2008, the Offer values each TNS Share at approximately 267 pence and represents a premium of approximately:

  • 56 per cent. over the Closing Price of 171 pence per TNS Share on 28 April 2008, being the last Business Day prior to the announcement by TNS of a potential merger with GfK; and
  • 24 per cent. over the Closing Price of 215 pence per TNS Share on 2 May 2008, being the last Business Day prior to the announcement by TNS that it had received a proposal from WPP.

When evaluating the Offer, WPP encourages TNS Share Owners to carefully consider the following:

  • Why was the TNS board still proposing to undertake a nil-premium reverse takeover less than a month ago if TNS' standalone prospects are so compelling? 

  • How realistic is the TNS board's medium term objective of achieving an adjusted operating margin of over 12.5 per cent. given that over the past five years TNS' reported operating margin (which excludes 'one off' integration and restructuring costs totalling £43.5 million over the period) has remained stuck between 9.9 per cent. and 10.8 per cent.? 

  • In the absence of the Offer would the TNS share price be above 171 pence per TNS Share, which is where it was on 28 April 2008, given the FTSE 350 index has fallen approximately 10 per cent. since that date? 

  • WPP is a highly diversified group across geographies, business sectors and communications disciplines. Marketing services and faster growing markets would represent 60 per cent. and over 20 per cent. of the enlarged WPP Group's revenues respectively. 

Sir Martin Sorrell, Chief Executive of WPP, said:

"It puzzles us that the TNS board has performed such a spectacular u-turn so quickly. Only a month ago it was pursuing a nil-premium reverse takeover by GfK and now the TNS board is advocating a standalone strategy. We believe that the WPP offer for TNS generates value for WPP share owners and provides a substantial premium for TNS share owners with both cash certainty and equity upside." 

Acceptances of the Offer should be received not later than 3.00 pm (London time) on 29 August 2008, in accordance with the procedure for acceptance set out in the Offer Document.
