EXERCISE OF OPTIONS AND DIRECTORS' SHAREHOLDINGS

 

Wincanton plc, a leading provider of supply chain solutions in the UK and Ireland announces that it has received due notice of exercise in respect of options granted to Mr Adrian Colman, the Chief Executive Officer, under the Company's 2013 Share Option Plan ("SOP").

 

Notices were received in respect of 1,059,322 Ordinary Shares of 10p each ("Ordinary Shares") at the exercise price of £0.708 per Ordinary Share and 886,262 Ordinary Shares at the exercise price of £0.677 per Ordinary Share. Using net settlement, this has resulted in the issue and allotment of 796,377 Ordinary Shares to Adrian Colman.

 

Following this exercise, the 796,377 Ordinary Shares above together with 109,065 Ordinary Shares from a previous exercise will immediately be transferred to Adrian Colman's wife, Lucy Moore, at nil cost. Mr Colman's and his wife's total shareholding in the Group will increase to 946,942 Ordinary Shares.

Applications will be made for 796,377 new ordinary shares of 10p each ("New Shares") to be admitted to listing on the premium segment of the Official List and to trading on the Main Market of the London Stock Exchange ("Admission"). It is expected that Admission will become effective and dealings in the New Shares will commence at 8.00am on 13 June 2017. The New Shares will rank pari passu with all existing Ordinary Shares in issue. 

 

Following Admission, the total number of voting rights in Wincanton is 124,543,670 which should be used by shareholders and other parties subject to disclosure obligations as the denominator for the calculations by which they determine if they are required to notify their interest in or a change to their interest in the share capital of Wincanton under the FCA's Disclosure and Transparency rules.
