Results of Offer for Mannesmann Convertible Bonds

Vodafone AirTouch PLC 24 March 2000 VODAFONE AIRTOUCH PLC RESULTS OF OFFER FOR MANNESMANN CONVERTIBLE BONDS Vodafone AirTouch Plc announces that its offer for the Mannesmann Convertible Bonds closed at 24:00 CET on 21 March 2000. By 24:00 CET on 21 March 2000, valid acceptances of the Convertible Bond Offer had been received in respect of a total nominal value of Euros 2,293,545,000 Mannesmann Convertible Bonds, representing approximately 99.72% of the Mannesmann Convertible Bonds in issue. As a result, Vodafone AirTouch will issue today 660,540,960 New Vodafone AirTouch Shares, to be delivered to accepting holders of Mannesmann Convertible Bonds whose acceptances were booked into Clearstream Banking AG, Frankfurt by 24:00 CET on 23 March 2000. Dealings in the New Vodafone AirTouch Shares to be issued in exchange for the tendered Mannesmann Convertible Bonds will commence on The London Stock Exchange at the opening of trading at 8:00 UK time on 24 March 2000. The outstanding Mannesmann Convertible Bonds not tendered to the Convertible Bond Offer will remain outstanding. Vodafone AirTouch's offer for all of the issued shares of Mannesmann remains open and will close at 24.00 CET on 27 March 2000 ('the Offer'). The final tranche of New Vodafone AirTouch Shares will be issued on 30 March 2000.
