Notification of cancelled shares, Voting Rights

Electra Private Equity PLC (the "Company") announced the results of a Tender Offer on 22 December 2016.

Following completion of the Tender Offer on 22 December 2016, the Company has today repurchased from Morgan Stanley the Ordinary Shares acquired by it pursuant to the Tender Offer and has accordingly cancelled 1,987,768 Ordinary Shares.  None of the Ordinary Shares purchased will be held in treasury.  

The Company announces in accordance with DTR 5.5.1R that the percentage of voting rights attributable to the cancelled Ordinary Shares is 4.94%.

The Company announces in accordance with DTR 5.6.1AR that, as at today, the Company's issued share capital consists of 38,282,763 Ordinary Shares of £0.25 each. The total number of voting rights attaching to the Ordinary Shares is therefore 38,282,763.

The above figure (38,282,763) may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company's Ordinary Shares under the FCA's Disclosure Guidance and Transparency Rules.

This notice is given in fulfilment of the obligations under Listing Rule 12.4.6, DTR 5.5.1R, DTR 5.6.1AR and DTR 5.6.1R.
