Issue of shares pursuant to incentive scheme and PDMR dealings

Syncona Limited (the "Company") today announces that a total of 2,153,171 new ordinary shares (representing 0.32% of the Company's existing issued ordinary shares) will be issued in satisfaction of realisations under the Company's long term incentive scheme.  The new ordinary shares, when issued, will rank pari passu with the existing issued ordinary shares of the Company. In accordance with the rules of the incentive scheme, the number of ordinary shares to be issued has been calculated using the closing mid-market price on 14 July 2021, £2.21.

In accordance with the rules of the incentive scheme, ordinary shares delivered on realisation may not be sold or transferred by the recipient for a period of one year following the realisation date.

The issue of shares include the following shares to be issued to senior members of the Syncona Investment Management Limited (SIML) leadership team:

Application has been made to the Financial Conduct Authority for the shares to be admitted to the Official List, and to the London Stock Exchange for the shares to be admitted to trading and it is expected that dealings will commence in the new ordinary shares on 21 July 2021.

Following admission, the Company will have 666,733,588 ordinary shares in issue and the total number of voting rights in the Company will be 666,733,588. The Company does not hold any ordinary shares in treasury. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interests in, the Company under the FCA's Disclosure and Transparency Rules.
