               NOTIFICATION OF INTERESTS IN SHARES IN THE COMPANY

Pursuant to Listing Rule 9.6.7R, the Company announces as follows:

1.         On 6 December 2006 the Company received notices pursuant to Section
198 of the Companies Act 1985 which disclose that following certain
re-organisations of interests held within the Schroder family trusts, the
interests of certain related companies in the relevant shares of the Company
have changed.  The Company received confirmation with each such notice that
there has been no overall increase in the Schroder family's aggregate
shareholding in the ordinary shares of £1 each in Schroders plc.  The changes
are as follows:

(a)   Fervida Limited, a company incorporated in Jersey, is interested in
38,278,700 ordinary shares of £1 each, representing 16.94% of the issued
ordinary share capital.  These shares are registered in the name of Fervida
(Bermuda) Limited.

(b)   Flavida Limited, a company incorporated in Jersey, is interested in
62,861,892 ordinary shares of £1 each, representing 27.81% of the issued
ordinary share capital.  These shares are registered in the name of Flavida
(Bermuda) Limited.

2.         On 5 December 2006, the Company received a notice pursuant to Section
198 of the Companies Act 1985 which discloses that as a result of the allocation
of certain trust interests and aggregation with other personal holdings, the
interests of Mrs Leonie Fane, a member of the Schroder family, in the relevant
shares of the Company have changed.  The Company received confirmation with that
notice that there has been no overall increase in the Schroder family's
aggregate shareholding in the ordinary shares of £1 each in Schroders plc.  Mrs
Fane is interested in 12,373,182 ordinary shares of £1 each, representing 5.47%
of the issued ordinary share capital.  Mrs Fane's shares are registered as
follows:
