Annual General Meeting 2020 ("AGM")

Regional REIT (LSE: RGL), the regional real estate investment specialist focused on building a diverse portfolio of income producing regional UK core and core plus office and industrial property assets, today announces that its AGM will be held at the offices of Macfarlanes LLP, 20 Cursitor Street, London, EC4A 1LT on 5 August 2020 at 11.00 a.m. The notice of AGM will be posted to shareholders shortly and is available to download from the Company's website www.regionalreit.com .

 

AGM Arrangements

 

In accordance with current UK Government restrictions aimed at controlling the spread of COVID-19, and to protect the health and safety of shareholders and corporate advisors, the Company will hold the AGM, with the minimum necessary quorum of two shareholders (which will be facilitated by the Company). Regrettably, we are currently unable to allow shareholders to attend the AGM in person, and anyone seeking to attend the meeting in person will be refused entry.

 

We are disappointed that these measures have to be adopted and appreciate our shareholders' understanding during these extraordinary circumstances.

 

We continue to monitor the rapidly developing impact of COVID-19, including the latest UK Government guidance and legislation, and how this may affect the arrangements for the AGM. If there are any changes in relation to the current arrangements for the AGM, further information will be made available via RIS and the website.

 

Voting

 

The Board recognises the importance of the AGM and is keen to ensure that shareholders are able to exercise their right to participate in the AGM by voting. The Board encourages all shareholders to exercise their vote and submit proxies as early as possible. Shareholders will not be able to vote on the day of the meeting. It is recommended that the Chairman of the AGM is appointed as your proxy to ensure that your vote is counted (as any other person would not be permitted to attend and cast their votes).

 

Proxy forms must be submitted by 11.00 a.m. on 3 August 2020 in order to be valid in accordance with the instructions contained in the Notice of Meeting.

 

The results of voting at the AGM will be announced to the London Stock Exchange as soon as possible after the AGM. Details of the results will also be published on our website.

 

Questions for the AGM

 

The Board recognises that the Company's AGM represents an important forum for shareholders to ask questions. Since shareholders are unable to attend this year's AGM, the Board invites shareholders to submit any question they may have (including their unique investor code (IVC), which can be found on the Regional REIT share certificate or tax voucher), to the email investor@regionalreit.com   by no later than 11.00 a.m. on 31 July 2020, and the Board will revert in due course.
