Re Agreement

COUNTYWeb.com PLC 27 March 2001 COUNTYWeb.com PLC Possible acquisition of call centre service COUNTYWeb.com PLC ('COUNTYWeb' or the 'Company'), the on-line regional business directory provider, has agreed in principle terms for the acquisition of an Ipswich-based 24/7 message and call-centre service. The acquisition, which will only take place after the successful completion of an employee consultation period, will provide COUNTYWeb with a specialist overflow and out of hours message taking service and its associated software. It is proposed that the call-centre service will be consolidated with the Company's own operations at it's office in Ipswich. Some 200 client contracts and 73 full or part time staff will be transferred to COUNTYWeb when the transaction is completed enabling COUNTYWeb to offer a full out of hours service to its existing client base and extend the utilisation of its existing outbound call centre technology to 24 hours a day, 7 days a week. The existing contracts have an estimated annual value of approximately £500,000 and it is anticipated that the majority of these clients will renew at the end of their current contracts. It is proposed that each new client will be given an enhanced entry in the COUNTYWeb directory free of charge for the first 3 months, resulting in higher visibility for their business. This additional business, along with the existing base of more than 2,000 clients, will give COUNTYWeb a greater recurring revenue base for the future. This preliminary announcement has been made to enable the employee consultation period to commence at the earliest possible time without creating the possibility of a false market existing in the Company's securities. A further announcement will be made when appropriate.
