We write to inform you that the Trustees of the Mothercare Employee
Trust on Friday 4th July  acquired 50,000 and Monday 7th July 2008
acquired 9,996 Mothercare Ordinary Shares of 50p each, at a price of
£3.30p and £3.362p per share respectively.

The shares are to be utilised by the Trust for equity incentives
throughout the Mothercare business. The executive directors (and
other persons discharging management responsibilities) of Mothercare
plc are deemed to be interested in all of the shares held by the
Trust which now amount to 3,853,959 shares or 4.42% of the issued
share capital.
