RESULTS OF RIGHTS ISSUE

Mitie Group plc ("Mitie" or the "Company") announces that the 11 for 5 rights issue of 805,069,771 New Shares at 25 pence per New Share announced on 25 June 2020 (the "Rights Issue") closed for acceptances at 11.00 a.m. (London time) on 28 July 2020. The Company received valid acceptances in respect of 752,207,289 New Shares, representing approximately 93.43 per cent. of the total number of New Shares to be issued pursuant to the fully underwritten Rights Issue.

It is expected that the New Shares in uncertificated form will be credited to CREST accounts as soon as practicable after 8.00 a.m. on 29 July 2020 and that definitive share certificates in respect of New Shares in certificated form will be dispatched to Shareholders by no later than 10 August 2020.

It is expected that the New Shares will commence trading, fully paid, on the London Stock Exchange plc's main market for listed securities at 8.00 a.m. on 29 July 2020.

In accordance with their obligations as joint global coordinators in respect of the Rights Issue pursuant to the Underwriting Agreement, the Joint Global Coordinators will endeavour to procure subscribers for the remaining 52,862,482 New Shares not validly taken up in the Rights Issue, including the 999 New Shares representing fractional entitlements in respect of the Rights Issue (the "Placing"), failing which the Underwriters have agreed to acquire, on a several basis, or may procure sub-underwriters to acquire any remaining New Shares. Each of the Underwriters and sub-underwriters and their respective affiliates may participate in the Placing.

A further announcement as to the number of New Shares subscribed for in the Placing will be made in due course.

In accordance with the FCA's Disclosure Guidance and Transparency Rules, the Company also notifies that, as at 29 July 2020, the total issued share capital of Mitie is 1,178,754,935 ordinary shares of 2.5 pence each with one voting right per share. There are 7,744,359 shares held in treasury.

Therefore, the total number of voting rights in the Company is 1,171,010,576. This figure should be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or a change of their interest in, Mitie under the Disclosure Guidance and Transparency Rules.
