Combination of Al Noor and Mediclinic International Limited ("Mediclinic")

 

Tender Offer

The Company announces that it has been notified that Dr Kassem Alom and Sheikh Mohammed Bin Butti Al Hamed intend  to tender all of their shares for cash pursuant to the Tender Offer in connection with the combination of the Company and Mediclinic. This represents a change in their intentions  from those set out in the shareholder circular dated 19 November 2015 (the "Circular") in which they had each stated an intention to tender approximately 75 per cent. of their shares under the Tender Offer. The Company has been notified that the reasons for the change in intention for Dr Kassem Alom are changes in personal circumstances and market conditions and the reason for the change in intention for Sheikh Mohammed Bin Butti Al Hamed is a change in personal circumstances.

Dr Kassem Alom is the beneficial owner of 7,055,946 Ordinary Shares of 10 pence each in the Company which are held by Maksar Investments Ltd. Sheikh Mohammed Bin Butti Al Hamed is the beneficial owner of 33,018,320 Ordinary Shares of 10 pence each in the Company which are held by Sapor Business Corp. Both Dr Kassem Alom and Sheikh Mohammed Bin Butti Al Hamed are principal shareholders of the Company. Dr Kassem Alom is also a non-executive director and the Deputy Chairman of the Company. Sheikh Mohammed Bin Butti Al Hamed is also the father and connected person of Sheikh Mansoor Bin Butti Al Hamed, a non-executive director of the Company.

For the purposes of the Securities Act, an "affiliate" of a company is any person that directly or indirectly controls, or is controlled by, or is under common control with, the company. Holders of Mediclinic Shares that constitute "restricted securities" for purposes of Rule 144 under the Securities Act will receive new Al Noor Shares that also constitute restricted securities and will not be permitted to offer or resell in the United States the new Al Noor Shares they receive without registering that offer or sale under the Securities Act or conducting that offer or resale in reliance on an exemption from registration. The Securities Act would not generally restrict sale of new Al Noor Shares on the London Stock Exchange, provided that the sale had not been pre-arranged with a buyer in the United States. Shareholders who believe they may be affiliates for the purposes of the Securities Act should consult their own legal advisers.
