RECOMMENDED ALL-SHARE MERGER BETWEEN LONDON STOCK EXCHANGE GROUP PLC AND DEUTSCHE BÖRSE AG

 

Satisfaction of LSEG plc Norwegian Regulatory Condition

 

 

The recommended all-share merger between London Stock Exchange Group plc and Deutsche Börse AG (the "Merger"), to be implemented by a new UK holding company ("HoldCo"), is subject to certain Conditions, including one that relates to the Financial Supervisory Authority of Norway (the "LSEG plc Norwegian Regulatory Condition"). The LSEG plc Norwegian Regulatory Condition is LSEG Condition 19 to the LSEG Acquisition as set out in Part IV of the Scheme Document and is Deutsche Börse Condition B.8(m) to the Deutsche Börse Acquisition as set out in Section 14.1 of the Exchange Offer Document.

 

HoldCo today announces that the Financial Supervisory Authority of Norway has confirmed that it does not object to the change of control of LCH.Clearnet Ltd. Accordingly, the LSEG plc Norwegian Regulatory Condition in both the LSEG Acquisition and the Deutsche Börse Acquisition has been satisfied.

 

Completion of the Merger remains subject to the fulfilment or waiver of the other Conditions as set out in the Scheme Document and the Exchange Offer Document.

 

Unless otherwise defined, all capitalised terms used but not defined in this announcement shall have the meaning given to them in the Scheme Document published by LSEG on 1 June 2016 in connection with the Merger.

LSEG Acquisition

The LSEG Acquisition to be implemented by way of the Scheme is being made to acquire the securities of an English company by means of a scheme of arrangement provided for under English law. A transaction effected by means of a scheme of arrangement is not subject to the proxy solicitation or tender offer rules under the US Exchange Act. Accordingly, the Scheme will be subject to disclosure requirements, rules and practices applicable in the UK to schemes of arrangement, which are different from the disclosure requirements of the US proxy solicitation or tender offer rules. The financial information included in this announcement and the Scheme Document has been prepared in accordance with International Financial Reporting Standards and thus may not be comparable to financial information of US companies or companies whose financial statements are prepared in accordance with generally accepted accounting principles in the US. If HoldCo exercises its right to implement the LSEG Acquisition of the LSEG Shares by way of a takeover offer, such offer will be made in compliance with applicable US laws and regulations, including Section 14(e) of the US Exchange Act and Regulation 14E thereunder. Such a takeover offer, if made in the United States, would be made by HoldCo and no one else. Exchange Offer

The Exchange Offer relates to shares in a German company and will be governed by the laws of the Federal Republic of Germany on the implementation of such an offer. The Exchange Offer is not intended to be made pursuant to the provisions of any other legal system. Shareholders should note that the Exchange Offer is subject to German disclosure rules, which are different from those in the US.

Dealing disclosure requirements
