Admission and listing of New Informa Shares

Recommended proposals for the introduction of a new Jersey incorporated and Swiss tax resident parent company ('New Informa') by means of a scheme of arrangement under Part 26 of the Companies Act 2006 (the 'Scheme') 

Further to Informa's announcement of 29 June 2009, Informa and New Informa announce that the Scheme has become effective. New Informa also announces the admission of 595,339,255 New Informa Shares to the Official List and to trading on the London Stock Exchange's main market for listed securities with effect from 8.00 a.m. today. The listing of 595,339,255 existing Ordinary Shares on the Official List was cancelled and those Ordinary Shares ceased to be admitted to trading on the London Stock Exchange's main market for listed securities with effect from 8.00 a.m. today. 

Scheme Shareholders will receive one New Informa Share in place of each Ordinary Share held by them at 6.00 p.m. on 29 June 2009. New Informa Shares held in uncertificated form were credited to the relevant CREST accounts by 8.00 a.m. today. Share certificates in respect of New Informa Shares held in certificated form are expected to be despatched to Shareholders shortly after the New Informa Reduction of Capital becomes effective (and dealings in certificated New Informa Shares before that date will be certified against the register of members).

Informa announces that the Jersey Court hearing to sanction the New Informa Reduction of Capital will now take place on 20 July 2009 and not 3 July 2009, as set out in the Scheme Circular. Accordingly, the New Informa Reduction of capital is expected to become effective on 20 July 2009.

Capitalised terms used but not defined in this announcement have the meaning given to them in the Scheme Circular issued by the Company dated 1 May 2009.
