Posting of Report and Accounts and Notice of AGM

Gresham House, (AIM: GHE) the specialist alternative asset manager, announces that it has published its Report and Accounts for the year ended 31 December 2019 and Notice of Annual General Meeting ("AGM") on the 'Key Documents' section of its website ( https://greshamhouse.com/about ).

Copies of the Report and Accounts for the year ended 31 December 2019 and Notice of AGM have been sent to shareholders.

The AGM will be held at Eversheds Sutherland (International) LLP, One Wood Street, London EC2V 7WS on Friday, 15 May 2020 at 1.30pm. The expected format of the AGM this year will cover formal resolutions only. Arrangements for a presentation to our broader community of shareholders and potential investors, where wider discussion will be facilitated if possible, will be announced in due course.

The Board notes the 'Stay at Home' measures issued by the UK Government on 23 March 2020, restricting social gatherings, in view of the COVID-19 pandemic. On 16 April 2020, these restrictions were extended for at least a further three weeks and, if as expected, they remain in place on the date of the AGM, shareholders will be prohibited from attending the AGM.

Given the current guidance and the general uncertainty on what additional and/or alternative measures may be put in place, the Board requests that shareholders do not plan to attend the AGM and instead appoint a proxy and provide voting instructions in advance of the AGM, in accordance with the instructions set out in the notes to the Notice of AGM.

In the event that the Board believes that it becomes necessary or appropriate to make alternative arrangements for the holding of the AGM due to COVID-19, the Company will issue an RNS announcement by 9am on 14 May 2020 at the latest setting out such arrangements.

Charitable donations

COVID-19 is having an unprecedented impact on all aspects of life across the world and the management team are working tirelessly to ensure that our people, clients, portfolio companies and other key stakeholders are safe and healthy and reviewing how we can help them through this period.

The Gresham House culture is one of multiple stakeholder considerations alongside shareholder objectives.  The Directors and Management Committee are pleased, therefore, to support charities identified through employee consultation. We have made a commitment to donate £100,000 in aggregate to the Trussell Trust and NHS Charities Together, expected to comprise of £60,000 from the Company and £40,000 from the Directors and Management Committee. In addition, we have set up a Give As You Earn Scheme for all employees and the Company will match up to a specified sum of donations made via the Scheme.  Taken together over the next twelve months, this is expected to take the Group's charitable donations to up to £175,000.
