Telme Group PLC 19 November 2001 For immediate release 19 November 2001 The TelMe Group Proposed Disposal of Travel Interests to Reggeborgh Group TelMe Group plc ('TelMe') announces today that it has entered into heads of agreement to dispose of its travel interests to the Dutch group Reggeborgh for £4 million in cash, payable on completion. A further £1 million in cash may be payable dependent on certain performance criteria of the travel interests being met in the year to 31 December 2002. The offer is subject, inter alia, to due diligence by Reggeborgh and the consent of shareholders of TelMe at an Extraordinary General Meeting. Completion is expected to take place towards the end of next month. The travel interests of TelMe consist of Seaforths, a business travel agent, TelMe Global Traveller, an internet travel booking service, Farebase, a provider of technology and services to the travel industry and Ticket Window, the online travel booking system. The directors of TelMe consider the proposed sale to be in the best interests of shareholders. The constraints of duality, whereby at present two substantially different businesses are carried out in the same Group, will be removed. Additional cash resources will be available to develop the Customer Relationship Management ('CRM') business further and exposure to the present uncertainty facing the travel industry will be removed. The ongoing business would then comprise the CRM division, which is currently the core of the existing business comprising around 60% of the Group's turnover. The services and technology provided by the business enable clients to maximise the value of their customer information and recently important database management and software licenses have been signed with Park Group and Amerada Hess. A condition of the transaction is that the Chief Executive of TelMe, Graham Ramsey, will transfer with the travel interests. It is expected that a new Chief Executive will be appointed at the time of completion or shortly thereafter. Graham Ramsey would then become a non-executive director of TelMe. A circular giving further information and calling the necessary Extraordinary General Meeting will be posted to shareholders in the next two to three weeks.
