Matchtech Group PLC 30 April 2007 MATCHTECH GROUP ('the Company') 30 April 2007 The Matchtech Group plc Share Incentive Plan ('SIP') The Company announces that further to transactions on 27 April 2007, of 573 ordinary shares of 1p each in the Company ('Shares') to Matchtech Engineering Limited ('the Trustee'), at a price of £4.40 pence per Share, for the purpose of satisfying the purchase of Shares by eligible employees (including executive directors) under the SIP for the current month. The SIP has been approved by the Inland Revenue as a share incentive plan under Schedule 8 to the Finance Act 2000. Additionally, the Company has allotted a further 573 new Shares to employees (including executive directors) as awards under the share matching element of the SIP. Following this transaction the Trustee will hold 69,756 Shares, all of which are held on behalf of eligible employees pursuant to the terms of the SIP. The beneficial ownership of the shares awarded under the matching element of the SIP will pass to Paul Raine, Tony Dyer and Adrian Gunn in three years time subject to continued employment and the retention of the underlying shares purchased on their behalf. Upon issue of the new Shares, the Company's enlarged issued share capital will comprise 22,487,718 ordinary shares with voting rights. The Company does not hold any shares in treasury. This figure of 22,487,718 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
