Update on additional US listing

Notice of Q4 and FY 2023 trading update

 

Flutter confirms that, subject to the public filing and effectiveness of its Form 20-F Registration Statement with the U.S. Securities and Exchange Commission, it is working toward an effective listing date for its ordinary shares on the New York Stock Exchange ("NYSE") of Monday, 29 January 2024.

As previously communicated, Flutter believes that it is appropriate to maintain just two listings to minimise regulatory complexities and has notified Euronext Dublin of its intention to cancel its secondary listing on Euronext Dublin with effect from 8.00 am (GMT) on Monday, 29 January 2024. The last day of trading of Flutter's ordinary shares on Euronext Dublin will be Tuesday 23 January 2024, with trading suspended from close of business on that day to allow for the settlement of pending trades and repositioning instructions, in advance of effectiveness of the US listing.

In connection with the anticipated cancellation of its Euronext Dublin listing, Flutter notes the STOXX decision to remove Flutter from the EUROSTOXX index, effective 18 December. Flutter's premium listing on the London Stock Exchange ("LSE") and inclusion in the FTSE 100 index will not be affected by the addition of this US listing. Flutter's shares will continue to trade on the LSE under its existing ticker symbol: "FLTR". From the point of the US listing, Flutter will also trade on the NYSE under the ticker symbol: "FLUT".

Flutter will report full year results for the 12 months ended 31 December 2023 under US GAAP on 26 March 2024. Ahead of this date, Flutter will release a brief trading update for the three-month period ended 31 December 2023 and 12 months ended 31 December 2023 on 18 January 2024 at 7.00 am (GMT).

The expected timetable of principal events during January 2024 for the implementation of the US listing and de-listing from Euronext Dublin is set out in greater detail at Appendix I together with guidelines for shareholders.

Shareholder guidelines

In order for Flutter's shares to be listed on the NYSE, the settlement system applicable to Flutter's shares will be migrated from the system operated by Euroclear Bank to the Depository Trust Company (the "Migration").  The effects of the Migration for shareholders will depend on the manner in which their shares are held and shareholders are encouraged to consult the FAQ available on Flutter's website here which sets out details of actions (including deadlines) which certain categories of shareholders may take to ensure the continued, efficient management of their shareholding following the Migration.

In particular, to ensure that interests in Flutter shares currently held in the Euroclear Bank settlement system are transferred to the Depository Trust Company settlement system as part of the Migration Euroclear Bank participants will need to reposition their holding of interests in Flutter shares into the CREST settlement system - to be held in the form of CREST Depository Interests representing Flutter shares. Any such repositioning will need to have settled prior to the US Listing Record Date which the Flutter Board currently expects for the purposes of Article 141 of Flutter's articles of association will be 5.00 pm (GMT) on Friday, 26 January 2024. Accordingly, shareholders are encouraged to take the required action in good time ahead of the expected US Listing Record Date. The latest time to complete a repositioning into CREST expected to be 11.00 am (GMT) on Friday, 26 January 2024.
