Stobart Group Limited ("Stobart" or the "Company")

PUBLICATION OF PROSPECTUS

Further to the announcement on 21 April 2011 in relation to a proposed share issue to raise gross proceeds of approximately £119.9 million (approximately £114.9 million net of expenses) through the issue of 77,339,766 new ordinary shares by way of a placing and open offer at a price of 155p per new ordinary share, Stobart announces that a prospectus relating to the Placing and Open Offer (the "Prospectus") has been approved by the UK Listing Authority (the "UKLA") today. 

The Prospectus is expected to be posted to shareholders later today, and a copy of the Prospectus, which includes a notice convening a general meeting of Stobart to be held at the Fermain Valley Hotel, Fermain Lane, St. Peter Port, Guernsey GY1 1ZZ at 10.00 a.m. on Wednesday 18 May 2011, has been submitted to the National Storage Mechanism and will shortly be available for inspection at www.hemscott.com/nsm.do.

In addition, the Prospectus will shortly be available to view, other than in certain jurisdictions, on the Company's website at www.stobartgroup.co.uk and will be available for inspection at the offices of Hill Dickinson LLP, Irongate House, 22-30 Duke's Place London, EC3A 7HX during usual business hours on any weekday (Saturdays, Sundays and public holidays excepted).
