Result of Open Offer and Directors' Dealing

 

On 30 May 2014, the Board of IRG (AIM: IRG) announced details of a proposed share issue to raise gross proceeds of up to £2.76 million, including an Open Offer of up to 41,669,879 New Ordinary Shares (the "Open Offer)" at a price of 3 pence per New Ordinary Share.

 

Defined terms used in this announcement shall have the same meaning as those terms defined and used in the circular of the Company dated 30 May 2014.

 

The Company has received valid acceptances in respect of 5,979,790 Open Offer Shares from Qualifying Shareholders.  This represents approximately 14.35% per cent. of the Open Offer Shares offered.  All eligible applications received from Qualifying Shareholders will be allocated their pre-emption entitlements and all eligible applications under the Excess Application Facility will be allocated their Open Offer Shares as applied for.

 

In addition, pursuant to the Placing, Charles Stanley Securities agreed to use its reasonable endeavours to place a further 9,000,000 Open Offer Shares with institutional and other investors, conditional, amongst other things, upon Admission.

 

As announced on 30 May, the Directors all indicated their intention to participate in the Placing.  In addition, Brian Hepp, Owain Franks and Feilim McCole, senior executives of the Company similarly indicated their intention to subscribe for Placing Shares at the Issue Price. 

 

In accordance with the AIM Rules for Companies, the Directors and members of the Company's senior management were not able to make a commitment to participate in the Placing until after the publication of the results for the 15 months period to 31 December 2013.  These results were announced on 16 June 2014 and the audited accounts for the period have been published and are available on the Company's website.  Accordingly, firm commitments to participate in the Placing have today been received, as indicated below.

The Placing and Open Offer remain conditional, amongst other things, upon the passing of the Resolutions at the General Meeting, to be held at 11:00 a.m. today, 17 June 2014, and Admission occurring no later than 8.00 a.m. on 18 June 2014 or such later time or date as the parties to the Placing Agreement may determine.
