3.         AGREEMENTS TO PURCHASE OR SELL ETC.

Fosun International Limited has entered into an OTC variable prepaid forward with an investment banking counterparty, in respect of its holding of 3,452,524 ordinary shares in Ageas. This was entered into on 15 September 2023 at an initial price per share of EUR39.3649. It settles in tranches on consecutive business days from and including 5 August 2024 to and including 13 September 2024, either physically or in cash, at Fosun's election. The forward settlement price is floored at EUR35.4284 and capped at EUR47.2379 to provide Fosun with a hedge against downward price movements in return for a cap on sale proceeds. If physically settled, Fosun will deliver a variable amount of shares to the counterparty, based on the relationship between the share price at settlement and the cap and the floor. During the life of the forward, Fosun's 3,452,524 Ageas shares that are subject to this forward are secured in favour of the counterparty, with voting and income rights remaining with Fosun.

 

It is not necessary to provide details on a Supplemental Form (Open Positions) with regard to cash-settled derivatives.
