Camellia Plc and Linton Park Plc have today received the following
notification from
The Libra Foundation
Camellia Holding A G
Camellia Private Trust Co. Ltd.
in relation to their holding of 1,420,000 ordinary shares of Camellia
Plc (51.41%).
NOTIFICATION OF INTERESTS IN SHARES
1. This notification relates to the ordinary 10p share capital of Camellia
Plc ('Camellia Ordinary Shares'). the ordinary 50p share capital of
Linton Park Plc ('Linton Park Ordinary Shares') and the ordinary £1.00
share capital of Lawrie Group Plc.
2. This notification is given on behalf of the following entities:
(a) Camellia Holding AG of Spielhof 3, CH-8750 Glarus; Switzerland
(b) The Libra Foundation of Austrasse 27, Fl-9490 Vaduz, Liechtenstein
(c) Camellia Private Trust Company Ltd. of Crown House, Par-la-Ville Road
Hamilton, Bermuda, as trustee of The Camellia Foundation.
3. Camellia Holding AG is the registered holder of 1,420,000 Camellia
Ordinary Shares (representing 51.4% of the existing issued share capital
of Camellia Plc as at the date of this Notice) and the registered owner of
50,000 Linton Park Ordinary Shares (representing 0.26% of the existing
issued share capital of Linton Park Plc as at the date of this Notice).
Lawrie Group Plc (being a wholly-owned subsidiary of Camellia Plc) is the
registered owner of 14,894,999 Linton Park Ordinary Shares (representing
78.24% of the existing issued share capital of Linton Park Plc as at the
date of this Notice).
4. On August 2, 2000, The Libra Foundation (being a private Stiftung
(foundation) resident in Liechtenstein associated with Mr. Gordon Fox)
transferred the ownership of Camellia Holding AG to Camellia Private
Trust Company Ltd. (being a corporate trustee incorporated in Bermuda to
hold on trust the investments of The Camellia Foundation). The Camellia
Foundation is a Bermudan Trust associated with Mr. Gordon Fox (who thus
remains interested as hereto before).
5. As a result of the matters described in paragraph 4 above:
(a) The Libra Foundation has ceased to have an interest, for the purposes
of the Companies Act 1985, in the 1,420,000 Camellia Ordinary Shares,
the entire issued share capital of Lawrie Group Plc and the
14,944,999 Linton Park Ordinary Shares referred to in paragraph 3
above: and
(b) Camellia Private Trust Company Ltd., as trustee of The Camellia
Foundation, has an interest, for the purposes of the Companies Act
1985, in the 1,420,000 Camellia Ordinary Shares, the entire issued
share capital of Lawrie Group Plc and the 14,944,999 Linton Park
Ordinary Shares referred to in paragraph 3 above.
6. With reference to the listing particulars relating to Camellia Plc dated
16 June, 1999, prepared in relation to the proposal for Lawrie Group Plc
to become a wholly-owned subsidiary of Camellia Plc and, in particular,
the statements made in paragraph 8 of the Chairman's letter concerning
the ability of Camellia Plc to carry on its business independently of The
Libra Foundation, Camellia Private Trust Company Ltd., as trustee of the
Camellia Foundation, hereby confirms that whilst it is intended that it
maintain its rights as a shareholder of Camellia Plc (through Camellia
Holding AG) it is in agreement with the statements referred to above (as
if the references in those statements to 'The Libra Foundation' were to
'The Camellia Foundation') and confirms that the statements made are in
accordance with the position adopted by the Trustees of The Camellia
Foundation in respect of how The Camellia Foundation is to conduct itself
in its capacity as a controlling shareholder of Camellia Plc.
